02Purpose and acceptance
These terms and conditions (the "Terms") govern all relations between the Provider and any natural or legal person (the "Client") who orders a service, whether a business, an agency or an entrepreneur.
Placing an order implies full and unconditional acceptance of these Terms, as well as of our refund and cancellation policy and our privacy policy. Any specific terms set out in an accepted quote shall prevail over these Terms in the event of a conflict.
03Services offered
The Provider delivers custom digital services, including:
- development of websites and online stores (WordPress, WooCommerce, Shopify);
- development of web applications, APIs and software architectures (Symfony, PHP, MySQL);
- front-end development from design mockups (Figma, Adobe XD, Sketch);
- development of custom modules, plugins and applications;
- integration of artificial intelligence solutions (conversational agents, RAG, automation, integration of language models via API);
- white-label subcontracting for agencies;
- maintenance, managed hosting, support and updates.
The exact scope of each service (deliverables, features, schedule, price) is defined in the quote or commercial proposal accepted by the Client.
04Quotes and orders
Every project is subject to a free quote, prepared after discussing the Client's needs. Unless otherwise stated, a quote is valid for 30 days.
An order becomes firm and final once both of the following conditions are met: (1) written acceptance of the quote (signature, email or online approval) and (2) receipt of the deposit specified in the quote.
Any request outside the initial scope (new feature, additional page or integration) is subject to an amendment or a supplementary quote before any work is carried out.
05Pricing and payment
Prices are stated in the quote, in the currency specified therein. They are fixed for the scope described.
Standard terms
- Fixed-price projects: 50% deposit on order, balance on delivery — or a milestone-based payment schedule specified in the quote.
- Subscriptions (maintenance, support, managed hosting): monthly or annual billing, payable in advance.
- Time and materials: billed for time spent at the agreed daily or hourly rate.
Payment methods
Card payments are processed securely by our certified payment provider, via an invoice or a payment link. The Provider never has access to your full card details and does not store them. Bank transfers may be accepted on request.
Invoices are payable on receipt, unless another due date is stated on the invoice. In the event of late payment, the Provider reserves the right to suspend work or services until full payment is received, after an unanswered reminder.
06Performance and timelines
The Provider undertakes to perform the services with care, in accordance with industry best practice and under a best-efforts obligation. Timelines stated in the quote are indicative and run from receipt of the deposit and of all necessary materials provided by the Client.
Project progress is monitored through regular milestone reviews; code is version-controlled (Git) and demos are presented to the Client as work progresses.
07Client obligations
- provide the necessary content, access, mockups and information within the agreed timeframes;
- warrant that it holds the rights to the materials provided (text, images, trademarks, data);
- appoint a contact person with decision-making authority and approve each stage within a reasonable time;
- comply with the terms of any third-party services used (hosting provider, Shopify, AI providers, etc.).
Any delay by the Client in providing materials or approvals shall postpone the schedule accordingly, without the Provider being held liable.
08Delivery and acceptance
Upon delivery, the Client has 10 business days to carry out acceptance testing and report in writing any defect in relation to the approved scope. Confirmed defects are corrected free of charge.
In the absence of written reservations within this period, or if the Client puts the deliverable live or into production use, the service shall be deemed accepted.
09Intellectual property
Subject to payment in full of the price, the Client becomes the holder of the usage rights to the deliverables specifically developed for it (custom code, design, created content).
The following remain the property of their respective owners: open-source components (subject to their respective licences), licensed third-party themes, plugins and services, as well as the Provider's generic tools, libraries and know-how, for which the Client receives a non-exclusive licence of use.
Unless the Client requests otherwise in writing — and always excepting white-label services — the Provider may list the work among its references.
10Warranty and maintenance
A 30-day warranty covering the correction of defects following acceptance is included, for any malfunction attributable to the Provider. It does not cover changes made by the Client or a third party, updates to third-party services, or new features.
Beyond this period, maintenance, support and updates are subject to a subscription or a specific quote.
11Liability
The Provider may only be held liable in the event of proven fault, and liability is limited to direct damages. It is capped at the amount actually paid by the Client for the service concerned over the preceding twelve months.
The Provider shall not be held liable for indirect damages (loss of revenue, data or customers), nor for interruptions or failures of third-party services (hosting providers, platforms, APIs, AI model providers). Output generated by artificial intelligence systems may contain errors; its supervision and final use are the Client's responsibility.
12Confidentiality
Each party undertakes to keep confidential any non-public information received from the other party for the duration of the relationship and for three years after it ends. A specific non-disclosure agreement (NDA) may be signed on request. The processing of personal data is described in our privacy policy.
13Cancellation and termination
The terms for cancelling an order, terminating a subscription and obtaining a refund are set out in our refund and cancellation policy, which forms an integral part of these Terms.
In the event of a serious breach by either party that is not remedied within 15 days of formal written notice, the other party may terminate the contract automatically. Services performed up to the termination date remain payable.
14Force majeure
Neither party shall be held liable for any failure resulting from a force majeure event (disaster, widespread network or supplier outage, government decision, conflict, etc.). Obligations are suspended for the duration of the event.
15Governing law and disputes
These Terms are governed by the laws of [State of registration of Stack Vibe LLC]. In the event of a dispute, the parties undertake to seek an amicable solution before taking any action, in particular through the complaints procedure described in our refund policy. Failing agreement within 30 days, the dispute shall be brought before the competent courts of [city / State], subject to any mandatory provisions protecting the Client.
